Constitution
1. TITLE
The Association shall be called Glenshee Performance Squad Association, hereinafter referred to as the Association.
2. OBJECTS
2.1 The objects of the Association are to enable the members provide a coordinated broad based performance snow sports coaching programme for their members at Glenshee Ski Centre and at other facilities as may be appropriate from time to time.
2.2 The Association is committed to the highest ethical standards. All individuals involved in the Association should conduct themselves with integrity, transparency, accountability and in a fair and equitable manner.
2.3 The Association is a non-profit making organisation. All profits and surpluses will be used to further the aims of the Association.
2.4 The Association shall be affiliated to Snowsport Scotland, or such other entity that may perform the function of governing body for snow sports in Scotland.
3. MEMBERSHIP
3.1 The Association shall consist of the founders and any other entities approved unanimously by the Members.
3.2 Members shall pay Membership fees as fixed at each AGM. The Association may also require Members to contribute to the funds of the Association by way of a special levy.
3.3 All members joining the Association shall be deemed to accept the terms of this constitution and any bye laws from time to time adopted.
3.4 Any entity seeking to join the Association shall submit an application to the Secretary of the Association. Members shall be admitted by the Management Committee. Membership will be open to entities involved in snow sports whose aims are consistent with those of the Association.
3.5 Members wishing to leave the Association shall give written notice of intention to leave to the Secretary of the Association. This will take will take effect three months after such notice is submitted. The Association shall retain ownership of all its assets and property and departing members shall have no claim on such.
4. MANAGEMENT COMMITTEE
4.1 The affairs of the Association shall be conducted by a Management Committee consisting of the officers of the Association.
4.2 The Officers of the Association shall be Chair, Vice-Chair, Treasurer and Secretary,all of whom shall be elected at the AGM. If the post of any Officer should fall vacant between GMs the Management Committee shall have the Power to fill such vacancy until the succeeding GM.
4.3 The Officers of the Association shall be trustees ex officiis of the Association who shall hold any property belonging to the Association in their name and shall be entitled to sue and be sued on behalf of the Association as trustees ex officiis. They shall have personal indemnity insurance cover as provided by Snowsport Scotland where they are acting bona fide in their capacity as Officers of the Association on behalf of their member club.
4.4 The Management Committee shall have the Power to deal with all matters not reserved to a General Meeting.
5. GENERAL MEETINGS
5.1 Annual General Meeting (AGM)
The Association shall hold an AGM between the months of Jul & September to;

Approve the minutes of the previous AGM

Receive reports from Officers
-
Approve the Annual Accounts
-
Elect the Officers
-
Fix the subscriptions for the following 12 month period

Deal with any other relevant business
5.2 Extraordinary General Meeting (EGM)
Any member may call an EGM by an Application in writing to the Secretary. The Management Committee shall also have the power to call an EGM by decision of a simple majority of the Officers. The secretary shall call the EGM for a date not later than 28 days from receipt of such an Application.
5.3 Notices
At least 14 days notice of all General Meetings, accompanied by an Agenda, shall be given to all members. No business shall be conducted unless due notice is given in the Agenda.
5.4 Voting

With the exception of changes to the Constitution, decisions put to a vote shall be resolved by simple majority at General Meetings.

The Chair shall hold a casting vote at General Meetings and Management Committee Meetings.

Voting rights of members shall be determined by a letter of authorisation from the Secretary of the relevant member entity to the Secretary of the Association.
5.5 Quora
The Quorum at General Meetings and Management Committee Meetings shall be two thirds of those entitled to vote.
5.6 Changes to the Constitution

Any changes to the Constitution shall require a two thirds majority of those present, eligible to vote and voting at the meeting.

A proposal to change the Constitution must be submitted in writing to the Secretary, who shall circulate the proposal to all members and allow seven days for submission of any amendments before calling a meeting in accordance with rule 5.3 above.

All proposals for changes to the Constitution shall be signed by two members.
6. FINANCE AND ACCOUNTS
6.1 The financial year shall run from 1st June to 31stMay.
6.2 The Treasurer shall be responsible for Preparation of Annual Accounts of the Association.
6.3 The Accounts shall be certified by an appropriate independent person.
6.4 All cheques drawn against the Associations funds shall be signed by two Officers.
6.5 All members shall be jointly and severally responsible for the financial liabilities of the Association.
7. DISSOLUTION
If, upon winding up or dissolution of the Association, there remains after the satisfaction of all its debt and liabilities any property whatsoever, the same shall be transferred to some or other entity having objects similar to those of the Association, such organisation to be determined by the members of the Association by Resolution passed at a General Meeting, or in the absence of such a Resolution (or to the extent to which it cannot be given effect), to Snowsport Scotland or its successor entity.
